We are assisting our Italian client in assessing a potential corporate cooperation structure with a competitor, with a view to creating a concentration capable of competing effectively in both the European and global markets.
Antitrust is therefore a key focus at this stage. We are, of course, mindful that agreements between competitors are prohibited and that even the preliminary analysis must be conducted in a segregated manner under a clean team agreement.
Should the antitrust assessment produce a positive outcome — including, where required, the appropriate notifications to the competent authorities in Austria, Italy and/or at EU level — this will become a particularly challenging and exciting project to structure, devise and negotiate.
