This week BSL supported a client in the review and negotiation of a Master Supply Agreement with a leading international pharmaceutical group.
The agreement governs a long-term supply relationship in the pharmaceutical sector and required a detailed review of key contractual, quality and regulatory issues, including GMP compliance, product specifications, forecasting and supply commitments, pricing and payment terms, product acceptance, intellectual property rights, liability, indemnities and termination rights.
Particular attention was also given to supply continuity, work-in-progress, regulatory documentation and the allocation of risks connected with manufacturing, delivery and early termination.
BSL worked with the client to refine the contractual framework and achieve a more balanced allocation of rights, obligations and commercial risks, while ensuring consistency with the operational and regulatory requirements of the pharmaceutical supply chain.
