BSL recently assisted in the drafting and negotiation of the contracts relating to a photovoltaic project.
The transaction structure required coordination between the supply from China of key components for the plant, including modules, trackers and inverters, and the construction activities to be carried out on site by the Italian contractor.
In this context, the main legal work focused on aligning the two contractual flows: delivery timing, payment terms, delay penalties, warranties, limitation of liability and the interaction between the main contract and the technical annexes.
The negotiation also required managing specific issues arising from the international photovoltaic supply chain, including logistics risks and price volatility affecting certain components and key materials.
BSL supported the client in structuring a contractual framework consistent with the operational needs of the project, while preserving a balanced allocation of risks among the involved parties.
